Terms of Service

These Terms of Service (the “Terms”) set forth the conditions for using the crowdfunding service “Tsukuroze Project” (the “Service”) provided by Grows K.K. (the “Company”). These Terms apply to all relationships between the Company and users of the Service (the “Users”) in connection with the use of the Service.

Article 1 (Application)

  1. The purpose of these Terms is to define the rights and obligations between the Company and Users regarding the use of the Service, and these Terms apply to all relationships between the Company and Users in connection with the Service.
  2. Any rules, guidelines, or other statements posted by the Company regarding the Service (regardless of name) shall constitute part of these Terms.

Article 2 (Registration)

  1. A person wishing to register for the Service shall apply for registration in the manner prescribed by the Company after agreeing to these Terms.
  2. Registration shall be completed when the Company approves the application described in the preceding paragraph.

Article 3 (Management of User ID and Password)

  1. Users shall, at their own responsibility, properly manage their user ID and password for the Service.
  2. The Company shall not be liable for any damages arising from the use of a User’s user ID or password by a third party, except where such damages are caused by the Company’s willful misconduct or gross negligence.

Article 4 (Fees and Payment Methods)

  1. Fees for using the Service shall be determined separately by the Company and displayed on the website or within the Service.
  2. Users shall pay such fees using the method designated by the Company.

Article 5 (Ownership of Intellectual Property Rights)

  1. Copyrights and any other intellectual property rights in and to content created, provided, or transmitted by Users through the Service (including, without limitation, videos, images, text, and any other content) shall belong to the User who created such content.
  2. The Company may use such content free of charge only to the extent necessary for operating and promoting the Service.
  3. Users shall not engage in any act that destroys or interferes with the functions of servers or networks of the Company, other Users, or any third party.

Article 6 (Prohibited Acts)

Users shall not engage in any of the following acts when using the Service:

  1. Acts that violate laws or public order and morals
  2. Acts related to criminal activities
  3. Acts that infringe intellectual property rights, portrait rights, privacy, reputation, or any other rights or interests of the Company, other Users, or third parties
  4. Acts of commercially using information obtained through the Service
  5. Acts that may interfere with the operation of the Company’s services
  6. Unauthorized access or attempts thereof
  7. Collecting or accumulating personal information about other Users
  8. Using the Service for improper purposes
  9. Impersonating other Users
  10. Advertising, solicitation, or sales activities on the Service without the Company’s permission
  11. Providing benefits, directly or indirectly, to anti-social forces
  12. Any other acts that the Company deems inappropriate

Article 7 (Suspension or Interruption of the Service)

The Company may suspend or interrupt provision of all or part of the Service without prior notice to Users if the Company determines that any of the following applies:

  1. Maintenance, inspection, or updating of systems for the Service
  2. Force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
  3. System failure due to accidents involving computers or communication lines
  4. Any other case in which the Company deems it difficult to provide the Service

Article 8 (Disclaimer of Warranties and Limitation of Liability)

  1. The Company makes no express or implied warranty that the Service is free from defects (including, without limitation, safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security defects, errors or bugs, or infringement of rights).
  2. The Company shall not be liable for any damages incurred by Users arising from changes to the content of the Service or discontinuation of the Service.

Article 9 (Amendments to the Terms)

The Company may amend these Terms at any time without notifying Users if the Company deems it necessary. If a User uses the Service after the amendment, the User shall be deemed to have agreed to the amended Terms.

Article 10 (Handling of Personal Information)

The Company shall appropriately handle personal information acquired through use of the Service in accordance with the Company’s Privacy Policy.

Article 11 (Notices and Communications)

Notices and communications between Users and the Company shall be made in the manner designated by the Company.

Article 12 (Prohibition of Assignment of Rights and Obligations)

Users may not assign, transfer, or grant as security their position under the service agreement or any rights or obligations under these Terms to any third party without the prior written consent of the Company.

Article 13 (Performance of Projects and Changes to Delivery Schedule)

  1. Project creators (“Creators”) shall perform their projects in accordance with their own plans and shall have an obligation to provide returns (goods, services, rights, etc.) to supporters.
  2. Due to manufacturing/production circumstances, delays in procedures, or other force majeure, unavoidable changes may occur to the delivery schedule or specifications of returns. In such cases, the Creator shall promptly notify supporters and report progress.

Article 14 (Cancellation and Refunds After Payment Confirmation)

  1. After payment is completed, cancellations or refunds due to the supporter’s convenience shall not be accepted.
  2. If achievement of a project’s purpose becomes significantly difficult or execution becomes impossible, the Creator shall promptly report the situation and respond in good faith in accordance with the principle of good faith. The Company shall not be responsible for any transactions or disputes between Creators and supporters.

Article 15 (Priority of Individual Provisions)

If there is any inconsistency between these Terms and the provisions on individual project pages, disclosures based on the Act on Specified Commercial Transactions, or separately agreed contractual terms (including written agreements), the provisions of such individual pages or individual agreements shall prevail.

Article 16 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan. Any dispute arising out of or in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court. However, this shall not exclude the application of mandatory consumer protection laws of the User’s country of residence where applicable.
